Welcome to News Factory. These Terms of Service ("Terms") govern your access to and use of the News Factory platform, including our website, applications, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

News Factory is an AI-powered software-as-a-service (SaaS) platform that helps users discover, curate, repurpose, and publish news content. The Service is operated by News Factory Inc ("Company," "we," "us," or "our").

1. Definitions

"Account" means the account you create to access the Service.

"AI-Generated Content" means any content created, modified, translated, or repurposed using the artificial intelligence features of the Service.

"Content" means any text, images, data, information, or other materials uploaded, submitted, or generated through the Service.

"Organization" means a workspace within the Service that may contain multiple users and shared resources.

"Source Content" means third-party news articles, images, and other materials accessed through RSS feeds or other sources via the Service.

"Subscription" means your paid or trial access to the Service under a specific plan tier.

"User," "you," or "your" means the individual or entity accessing or using the Service.

2. Account Registration and Security

2.1 Account Creation

To use the Service, you must create an Account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. Account authentication is provided through our third-party authentication partner, Clerk.

2.2 Account Security

You are responsible for safeguarding your Account credentials and for all activities that occur under your Account. You must notify us immediately of any unauthorized access to or use of your Account. We are not liable for any loss or damage arising from your failure to comply with these security obligations.

2.3 Age Requirements

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement.

2.4 Organizations

If you create or join an Organization, you agree to be bound by any additional terms set by the Organization administrator. Organization administrators have control over user access, content, and settings within their Organization.

3. Service Description

3.1 Core Features

News Factory provides tools for: (a) discovering and monitoring news content through RSS feeds; (b) AI-powered content repurposing, summarization, and translation; (c) content editing and management; (d) multi-language support; (e) publishing to external content management systems (CMS) including WordPress, Drupal, and Joomla; (f) social media content generation; and (g) image analysis and AI image generation.

3.2 AI Services

The Service utilizes artificial intelligence technologies from third-party providers including Anthropic (Claude), OpenAI, Google (Gemini), Together AI, and Ideogram to provide AI-powered features. You acknowledge that AI-generated content may contain errors, inaccuracies, or inappropriate content, and you are solely responsible for reviewing and verifying all AI-generated content before use or publication.

3.3 Service Tiers

The Service is offered in multiple subscription tiers (Starter, Pro, Business, and Enterprise), each with different features, usage limits, and pricing. Details of current plans and pricing are available on our website. We reserve the right to modify plans, features, and pricing with reasonable notice to subscribers.

4. Subscription and Payment

4.1 Billing

Subscriptions are billed in advance on a monthly or annual basis, as selected at the time of purchase. Payment processing is handled by Stripe through our authentication provider Clerk. By subscribing, you authorize us to charge your designated payment method for all applicable fees.

4.2 Usage Limits

Each subscription tier includes specific limits on AI requests, storage, user seats, and other resources. Usage is tracked and if you exceed your plan limits, you may experience service restrictions until the next billing cycle or upgrade to a higher tier.

4.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings.

4.4 Refunds

Payments are generally non-refundable except as required by applicable law or as explicitly stated in these Terms. Pro-rated refunds may be available for annual subscriptions cancelled within the first 14 days.

4.5 Price Changes

We may change our prices at any time. For existing subscriptions, price changes will take effect at the start of the next billing cycle following notice of the price change. Your continued use of the Service after a price change constitutes your acceptance of the new price.

5. User Content and Conduct

5.1 Your Content

You retain ownership of any Content you create or upload to the Service. By using the Service, you grant us a limited, non-exclusive license to host, store, and process your Content solely for the purpose of providing the Service to you.

5.2 Responsibility for Content

You are solely responsible for all Content you upload, create, publish, or distribute through the Service, including AI-generated content. You represent and warrant that you have all necessary rights to use, publish, and distribute such Content and that your Content does not violate any third-party rights or applicable laws.

5.3 Third-Party Source Content

IMPORTANT: The Service enables you to access and repurpose news content from third-party RSS feeds and websites. Such Source Content, including any images, remains the intellectual property of the original content owners. You are solely responsible for: (a) ensuring your use of Source Content complies with applicable copyright laws and the terms of service of the original content sources; (b) obtaining any necessary permissions or licenses for your intended use; (c) properly attributing sources as required; and (d) not infringing upon the intellectual property rights of third parties. The Company does not claim ownership of Source Content and is not responsible for any copyright infringement by users.

5.4 Prohibited Uses

You agree not to use the Service to: (a) violate any applicable laws or regulations; (b) infringe upon intellectual property rights; (c) distribute malware or harmful code; (d) harass, abuse, or harm others; (e) distribute spam or unsolicited communications; (f) impersonate others; (g) interfere with the Service's operation; (h) attempt to gain unauthorized access to systems or data; (i) generate or distribute false, misleading, or defamatory content; (j) create content that promotes violence, discrimination, or illegal activities; or (k) violate any third-party terms of service when publishing content.

5.5 Content Moderation

We reserve the right, but have no obligation, to monitor, review, or remove any Content that violates these Terms or that we determine, in our sole discretion, is inappropriate or harmful.

6. Intellectual Property

6.1 Our Intellectual Property

The Service, including its design, features, functionality, and underlying technology, is owned by the Company and protected by intellectual property laws. Nothing in these Terms grants you any right to use the Company's trademarks, logos, or branding without prior written consent.

6.2 AI-Generated Content

You acknowledge that AI-generated content may not be eligible for copyright protection under applicable law. The Company makes no representations regarding the copyright status of AI-generated content. You assume all risks associated with the use of AI-generated content, including any claims related to intellectual property rights.

6.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without compensation to you.

7. Third-Party Services and Integrations

7.1 Third-Party Providers

The Service integrates with and relies upon various third-party services, including: Clerk for authentication and billing; Stripe for payment processing; Amazon Web Services (AWS) for cloud storage; and various AI providers for content generation. Your use of these third-party services is subject to their respective terms of service and privacy policies.

7.2 CMS Integrations

The Service allows publishing content to third-party content management systems (WordPress, Drupal, Joomla, and others). You are responsible for complying with the terms of service of any CMS platforms you connect to and for the content you publish through these integrations.

7.3 RSS Feeds

The Service accesses publicly available RSS feeds to provide news monitoring features. We do not control and are not responsible for the content, accuracy, or availability of third-party RSS feeds.

8. Data and Privacy

8.1 Privacy Policy

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

8.2 Data Processing

To provide AI-powered features, your Content may be processed by third-party AI service providers. We implement appropriate safeguards to protect your data during processing, but you acknowledge that some data processing occurs on third-party systems.

8.3 Data Retention

We retain your data for as long as your Account is active or as needed to provide the Service. Upon Account deletion, we will delete or anonymize your data in accordance with our Privacy Policy, subject to any legal retention requirements.

9. Account Termination

9.1 Termination by You

You may terminate your Account at any time through your account settings or by contacting us. Upon termination, your subscription will not renew, but you will retain access until the end of your current billing period unless you request immediate deletion.

9.2 Termination by Us

We may suspend or terminate your Account immediately if you: (a) violate these Terms; (b) engage in fraudulent or illegal activity; (c) fail to pay applicable fees; or (d) pose a security risk to the Service or other users. We may also terminate the Service or your Account for any reason with 30 days' notice.

9.3 Effect of Termination

Upon termination: (a) your right to use the Service immediately ceases; (b) all data associated with your Account will be deleted, including stories, images, content sources, AI usage records, and all files stored in our systems; (c) we are not obligated to retain or provide copies of your data; and (d) any provisions of these Terms that by their nature should survive termination will survive.

9.4 Data Export

We recommend exporting your data before terminating your Account. Depending on your subscription tier, data export features may be available within the Service.

10.1 Service Provided "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

10.2 AI Content Disclaimer

AI-GENERATED CONTENT IS PROVIDED FOR INFORMATIONAL PURPOSES ONLY. WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, RELIABILITY, OR SUITABILITY OF ANY AI-GENERATED CONTENT. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING, EDITING, AND VERIFYING ALL AI-GENERATED CONTENT BEFORE USE OR PUBLICATION. AI-GENERATED CONTENT SHOULD NOT BE RELIED UPON FOR LEGAL, MEDICAL, FINANCIAL, OR OTHER PROFESSIONAL ADVICE.

10.3 Third-Party Content

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

11.2 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Before initiating any formal dispute resolution proceeding, you agree to first contact us and attempt to resolve the dispute informally. We will work in good faith to resolve any issues.

13.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

13.3 Jurisdiction

Any disputes arising from these Terms or the Service shall be resolved exclusively in the courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.

14. Changes to Terms

We may modify these Terms at any time. If we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service.
